Terms of Service

Draft version 2026-10-08. Not yet in force.

These terms are a draft and are being reviewed by counsel. Items marked [counsel to confirm] are not final. They are the agreement between Run Defrag LLC, doing business as Defrag, of Austin, Texas ("Defrag", "we", "us") and the business that signs up ("you", the "Customer") for the Defrag CRM service (the "Service"). By ticking the box at sign-up or using the Service you agree to them for your business, and you confirm you have authority to do so. Questions go to info@rundefrag.com.

The Service and your account

Defrag is a CRM. You choose a plan (Basic, Pro or Premium) and a number of seats. Each seat is for one named person at your company. Seats are not shared. The person who buys (the work email used at checkout) becomes the account's admin when they first sign in with that email. Colleagues join by signing in with their work email. Beyond the seats you bought, the admin approves each extra seat, and adding a seat charges the prorated amount straight away. Admins can also add people by email from Admin → Users; they get a welcome email from the admin. Removing someone credits the unused time. Changes of plan are made through Defrag support. You are responsible for what happens under your account and for keeping sign-in details safe.

Subscription, fees and renewal

  • The Service is a subscription charged per seat, billed monthly or annually as you choose at sign-up.
  • The card you give at sign-up is charged when you complete checkout. There is no free trial.
  • The subscription renews automatically at the end of each period (each month or each year) at the then-current price for your plan, unless you cancel first.
  • Fees are in US dollars and exclude any taxes, which we add where required.

Beta pricing

While Defrag is in beta, the price you pay is 50% off our list price. You keep that discount for as long as your subscription stays continuously active. If your subscription ends and you later start a new one, the then-current prices apply. We may change list prices on notice before your next renewal; the 50% discount continues to apply to the new list price while you remain continuously subscribed.

AI usage

Defrag meters the AI features your account uses (for example call summaries and drafted messages) and keeps a record of that usage. Today there is no separate charge for AI usage, and no credit allowance that pauses AI features when it runs out. An included monthly allowance for each plan, and the option for an admin to buy top-up credits, will be offered in-product when available. We will give you notice before any change in how AI usage is charged.

AI outputs are proposals

Defrag uses AI to summarise calls, propose record updates and draft messages. Every AI output is a proposal for a person at your company to review, accept, edit or send. A human is always at the reins: Defrag does not send messages to people outside your company, or change your records on its own authority, without a person's approval, except where an authorised person at your company has deliberately set a class of action to run automatically. AI can be wrong. You are responsible for reviewing what you accept and send, and for how you use it.

Cancellation

An admin may cancel at any time by emailing support@rundefrag.com. Cancellation takes effect at the end of the period you have already paid for. You keep access until then, and the subscription does not renew.

Refunds

We do not refund fees for a partial period, and we do not refund unused seats or any AI credits you have bought, unless the law requires it. [counsel to confirm]

Your data

You own your data: the records, notes, emails, documents and other content you or your team put into the Service ("Customer Data"). You give us the right to host and process it only to provide the Service to you. We do not sell Customer Data and we do not use it to train AI models. On request, we will give you an export of your Customer Data in a common format. Our Privacy Policy explains how information is handled, and how Google account access works if you connect it.

You are responsible for having the right to put personal information about other people into the Service, and for using it lawfully.

Acceptable use

You agree not to:

  • break the law or infringe anyone's rights using the Service;
  • send spam or unlawful messages, or message people who have not agreed to hear from you where consent is required;
  • try to access another customer's data, probe or disrupt the Service, or get around its security or limits;
  • reverse engineer the Service, or resell or share seats between people;
  • upload malicious code, or content that is unlawful, or that you do not have the right to use;
  • use the Service to build a competing product.

We may suspend access that breaks these rules, and will tell you why where we can.

Payments

Payments are processed by Stripe. We do not see or store your full card number. Stripe's own terms and privacy notice apply to the payment details you give it. If a payment fails we may retry it, and may suspend the Service until the account is paid up.

Availability and support

The Service is in beta. We work to keep it running and secure, and we offer support by email and through the app, but we do not guarantee it will be uninterrupted or error-free, and features may change.

Our property

Defrag, its software, design and name belong to us. You get a limited, non-exclusive, non-transferable right to use the Service during your subscription. Feedback you give us may be used to improve the Service.

Warranty disclaimer and limitation of liability [counsel to confirm]

The Service is provided "as is" and "as available". To the fullest extent the law allows, we disclaim all implied warranties, including merchantability, fitness for a particular purpose and non-infringement. To the fullest extent the law allows, neither party is liable for indirect, incidental, special, consequential or punitive damages, or for lost profits or revenue, and our total liability for all claims relating to the Service is limited to the fees you paid us in the 12 months before the claim arose. Nothing in these terms limits liability that cannot be limited by law.

Governing law [counsel to confirm]

These terms are governed by the laws of the State of Texas, without regard to its conflict-of-laws rules. The courts located in Texas have exclusive jurisdiction over disputes, and each party submits to them.

Changes to these terms

We may update these terms. We will post the new version here and give notice before material changes take effect. If you keep using the Service after that, the new terms apply. If you do not agree, you may cancel before they take effect.
